These Terms of Service (these "Terms") set out the rules for accessing and using the website at omni-launch.com and every tool, page, piece of software, application or service offered through it (together, the "Services"), operated by Omnilaunch ("Omnilaunch", "we", "our", "us").

By accessing, browsing or using the Services, you ("User", "you") confirm that you have read and understood these Terms and agree to be bound by all of them.

If you do not accept these Terms, do not access or use the Services. If you keep using the Services after these Terms are updated, you accept the updated version.

These Terms form a legally binding agreement between you and Omnilaunch.

§ 01

Acceptance of These Terms

These Terms are the full set of rules for how you interact with Omnilaunch — a platform for creating, launching and managing tokens on several blockchain networks from start to finish. We want the legal framework to be clear and detailed, so that everyone who uses our tools knows their rights, their obligations and the risks they are taking on. Using any part of the Services — creating a token, setting up liquidity or using any other tool in the platform interface — means you accept these Terms in full and without conditions, together with any later changes made as the platform grows, new blockchain networks are added and the rules around decentralized technology keep evolving.

Please keep in mind that blockchain technology, smart contracts and the tools built on them carry significant uncertainty, technical and market risk, and regulation that differs and changes from one jurisdiction to another. That is exactly why we describe the conditions for using the Services in such detail: so that every User can make an informed, deliberate decision before using the platform.

§ 02

Definitions

In these Terms, the following words have the meanings given below:

Affiliate
any entity that directly or indirectly controls Omnilaunch, is controlled by Omnilaunch, or is under common control with Omnilaunch.
Blockchain
any decentralized distributed ledger the Services support, including, without limitation, Solana, Ethereum, Base, BNB Chain (BEP20), Polygon, Arbitrum, Avalanche, Blast, Robinhood Chain, Monad and Tempo, and any network added later as the platform develops.
Content
any text, image, video, code, token metadata, link, name or other material that is uploaded, submitted or shown through the Services.
Self-Custodial Wallet
a cryptographic wallet whose private keys are held by the User alone.
Services
the no-code software tools, website pages, interfaces, dashboards, support channels and any related features offered by Omnilaunch.
Smart Contract
a computer program deployed on a Blockchain that runs automatically once agreed conditions are met.
Tool
any individual product offered through the Services, including, without limitation, token creation tools, liquidity pool tools, bundlers, volume bots, anti-MEV bots, multisenders, snapshots, vesting, claim tools and metadata utilities.
Token
any fungible or non-fungible cryptographic asset issued on, or used through, a Blockchain.
Tool Fee
the service fee Omnilaunch charges for using a particular Tool, shown in the User interface before you sign.
Transaction
any operation the User starts from a Self-Custodial Wallet by means of the Services.
Website
the website at omni-launch.com and every page published under that domain.

This list is not exhaustive and may grow as the platform gains new features.

§ 03

About Omnilaunch

Omnilaunch offers no-code software tools that let Users work with public Blockchains directly from their own Self-Custodial Wallet.

Omnilaunch is a software provider. It is not a virtual asset service provider, broker-dealer, custodian, money transmitter, payment processor, exchange or market maker, nor a financial, investment, legal or tax advisor. Omnilaunch never holds, keeps, transmits or exchanges Tokens, funds or private keys, never swaps on the User's behalf, and never takes possession of them. The User starts, signs and broadcasts every Transaction from the User's own Self-Custodial Wallet. Omnilaunch only makes software available; the User decides how to use it, at the User's own discretion and risk.

If anything the User does through the Services requires an approval, license or registration from an authority in the User's jurisdiction, obtaining it is the User's sole responsibility.

§ 04

Eligibility

By using the Services, you represent and warrant that:

  • (a)

    you are at least eighteen (18) years old and fully able, under the law of the place where you live, to enter into binding contracts;

  • (b)

    you are not located in, ordinarily resident in, or operating from any Restricted Jurisdiction described in Section 5;

  • (c)

    neither you nor any beneficial owner of the funds you use through the Services is the subject of sanctions, an asset freeze or other restrictive measures imposed by the United Nations, the United States Office of Foreign Assets Control ("OFAC"), the European Union, the United Kingdom or any comparable authority;

  • (d)

    you will not access or use the Services for, or on behalf of, any sanctioned person or entity;

  • (e)

    you act in your own name and for your own account, or with full legal authority for the entity you represent;

  • (f)

    you understand the technical, operational and financial risks of using blockchain technology, and you accept them in full.

Omnilaunch may check any of these statements at any time, and may suspend or end your access if it has reasonable grounds to believe any of them is untrue.

§ 05

Restricted Jurisdictions

You may not access or use the Services if you are located in, ordinarily resident in, a national or citizen of, or operating from a jurisdiction under comprehensive sanctions imposed by the United Nations, OFAC, the EU or the UK, including, without limitation:

  • Cuba

  • Iran

  • North Korea (Democratic People's Republic of Korea)

  • Syria

  • The Crimea region of Ukraine

  • The so-called Donetsk People's Republic and Luhansk People's Republic regions of Ukraine

Omnilaunch may, at its sole discretion, block access from further jurisdictions whenever applicable law or regulation requires it, and may enforce these restrictions by technical means, including IP-based geolocation. Getting around them with a VPN, a proxy, a false statement or any other method is a material breach of these Terms.

§ 06

Description of Services

Omnilaunch offers no-code software tools that let Users work with public Blockchains directly from their own Self-Custodial Wallet. The Services include, without limitation:

  • Token creation under supported standards (including SPL, Token-2022, ERC-20 and BEP-20 or equivalent standards) on supported Blockchains — currently Solana, Ethereum, Base, BNB Chain, Polygon, Arbitrum, Avalanche, Blast and Robinhood Chain — through the token creation tool on the Website. Further networks, including Monad and Tempo, are shown in the interface as coming soon and cannot be selected yet;

  • Optional settings offered while a token is being created, including social links and tags, creator details, splitting the supply across several wallets, transaction fees, deflation and reflection;

  • Choosing a token's capabilities at creation — giving up the freeze, mint and update authorities on Solana, and the burnable, mintable and pausable capabilities on EVM chains;

  • Creating and funding a liquidity pool while a token is being created, and topping up or withdrawing from that position later, through the liquidity pool tool on the Website;

  • Support tickets and the guide published on the Website.

Omnilaunch does not run any of the underlying Blockchains, launch platforms, automated market makers, oracles, RPC providers, validator networks or third-party protocols. Unless it says so expressly in writing, Omnilaunch is not affiliated with, endorsed by or acting for any third party.

The current list of Tools and their prices is shown in the User interface and may change at any time.

§ 07

Self-Custody and On-Chain Finality

Your Self-Custodial Wallet is in your custody alone. Omnilaunch cannot access, recover, freeze or reverse your wallet, your private keys, or any funds or Tokens held in it or sent from it, and has no other control over them.

Every Transaction is recorded on a public Blockchain and is final. Once you sign and broadcast a Transaction, neither Omnilaunch nor anyone else can cancel, reverse, refund or undo it. This applies, without limitation, to:

  • Transactions sent to the wrong address;

  • Transactions with the wrong amount, parameters or settings;

  • Transactions carried out during network congestion or partial outages;

  • Transactions resulting from private keys that were compromised, lost or used without authorization;

  • Transactions whose result differs from what you expected because of slippage, MEV, sandwich attacks, front-running or other on-chain effects.

You are fully responsible for:

  • (a)

    keeping your private keys, seed phrases and any wallet credentials safe;

  • (b)

    checking that every Transaction parameter is correct before you sign (token address, recipient, amount, slippage and so on);

  • (c)

    the working condition and security of your wallet software and devices.

§ 08

User Wallet and Responsibilities

You agree that:

  • You will connect only Self-Custodial Wallets that you control.

  • You will not connect a wallet holding funds that belong to someone else unless you are fully and legally authorized to act for them.

  • You will not enter private keys, seed phrases or other secret material into any field of the Services that is not expressly meant for it. Where a Tool asks for the private keys of several wallets, you provide them voluntarily and entirely at your own risk, and you confirm that those wallets were created or funded specifically for that operation.

  • You will not use the Services to interact with Smart Contracts, Tokens or wallets that are under legal restrictions or sanctions, or are linked to known illegal activity.

  • You will check every Transaction detail shown in your wallet software yourself before signing.

§ 09

Fees and Payment

Omnilaunch charges a Tool Fee for each Tool you use. Tool Fees are priced in the native asset of the relevant Blockchain (for example SOL, ETH or BNB) and are shown in the User interface before you sign any Transaction.

Signing a Transaction means you accept the Tool Fee that comes with it. Tool Fees are collected on-chain, cannot be refunded except as Section 18 expressly provides, and are separate from:

  • (a)

    network gas or priority fees paid to validators or miners;

  • (b)

    liquidity, slippage or trading fees charged by any underlying protocol;

  • (c)

    any funds the User sets aside within a Tool as a trading or liquidity budget.

Omnilaunch may change Tool Fees at any time. If you keep using a Tool after its fee changes, you accept the new fee.

§ 10

Smart Contract and Third-Party Risk

The Services depend on:

  • (a)

    Smart Contracts written by Omnilaunch;

  • (b)

    Smart Contracts written by third parties, including public launch platforms and automated market makers;

  • (c)

    public Blockchains run by independent validator networks;

  • (d)

    third-party wallet providers (Phantom and Solflare for Solana; MetaMask and Trust Wallet for the EVM chains);

  • (e)

    third-party infrastructure providers (including RPC endpoints, indexers and storage gateways).

You understand that:

  • Smart Contracts can contain bugs, vulnerabilities or unexpected behavior, even after professional review.

  • Blockchains can suffer outages, congestion, forks, reorganizations or downtime that affect how Transactions execute.

  • Third-party services can change, deprecate, suspend or remove features without warning.

  • Token launch platforms can apply anti-bot or anti-bundle measures that change the outcome of Transactions.

  • No review or audit can guarantee that there are no vulnerabilities.

Omnilaunch gives no warranty, guarantee or insurance for the operation of any third-party Blockchain, Smart Contract, wallet or service. You deal with every third-party element at your own risk.

§ 11

Acceptable Use

You agree not to use the Services to:

  • (a)

    break any applicable law or regulation, or any order of a competent authority;

  • (b)

    infringe the intellectual property, privacy, publicity or any other right of a third party;

  • (c)

    commit or assist fraud, market manipulation, wash trading, pump-and-dump schemes (where applicable law prohibits them) or impersonation;

  • (d)

    launder money, finance terrorism, evade sanctions or commit any other financial crime;

  • (e)

    interfere with, disable or overload the Services or Omnilaunch's infrastructure, or try to gain unauthorized access to them or to another User's wallet, account or data;

  • (f)

    reverse engineer, decompile or disassemble any proprietary Omnilaunch component, or extract its source code, unless mandatory applicable law expressly allows it;

  • (g)

    scrape, harvest or bulk-extract data from the Services without Omnilaunch's prior written permission;

  • (h)

    introduce malware, ransomware, viruses or any other malicious or destructive code;

  • (i)

    defame, harass, threaten or discriminate against anyone on any ground;

  • (j)

    get around any Restricted Jurisdiction control by false statements, a VPN, a proxy or any other technical means;

  • (k)

    act in any way that could damage, disable, overburden or impair Omnilaunch's systems.

Breaking this Section may lead to your access being suspended or ended immediately and without notice, and may be reported to the relevant authorities.

§ 12

Prohibited Tokens and Activities

In addition to Section 11, you agree in particular not to use the Services to create, launch, promote, distribute or trade Tokens that:

  • (a)

    represent or imitate a registered security, a regulated derivative or a stablecoin pegged to a fiat currency, unless you hold the required license in every jurisdiction where the Token is offered;

  • (b)

    use third-party trademarks, names, logos or other protected marks without permission;

  • (c)

    deceptively pose as a real person, brand, organization or government body;

  • (d)

    help sell or distribute illegal goods, services or content;

  • (e)

    promote child sexual abuse material, terrorism, violent extremism or hate speech;

  • (f)

    are linked to sanctioned persons, entities or jurisdictions.

You alone are responsible for the legal status of any Token you create or use, both where you are and wherever you plan to distribute or promote it. Omnilaunch gives no legal, securities or tax advice about Tokens.

§ 13

User Submissions

"User Submissions" means any Content you provide through the Services, including, without limitation, token names, symbols, descriptions, images, social media links, vesting schedules, claim-related text and metadata uploaded to public storage networks.

Your User Submissions remain yours. By providing them, you give Omnilaunch a worldwide, royalty-free, non-exclusive license, which it may sublicense, to host, store, display, transmit and process them only as far as needed to run the Services and meet its legal obligations.

You represent and warrant that your User Submissions:

  • (a)

    do not infringe anyone else's rights;

  • (b)

    are not false, misleading, defamatory or unlawful;

  • (c)

    comply with Sections 11 and 12.

Omnilaunch may monitor, review, edit or remove User Submissions that breach these Terms, but is not obliged to.

§ 14

Intellectual Property

The Services — including the Website, software, source code, designs, trademarks, logos, Smart Contracts written by Omnilaunch, documentation and content, but not User Submissions or third-party content — and all rights, title and interest in them belong exclusively to Omnilaunch or its licensors, and will continue to.

Subject to these Terms, you receive a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Services for what they are meant for.

Without prior written permission, you may not copy, modify, distribute, sell, lease or sublicense any proprietary Omnilaunch material, or create derivative works from it, except where mandatory applicable law allows.

§ 15

Third-Party Services

The Services may link to, integrate with or work alongside third-party platforms, wallets, oracles, RPC providers, infrastructure providers, blockchains and tools. Omnilaunch does not control or endorse any third-party service and takes no responsibility for it. Your use of a third-party service is governed by that service's own terms, and you bear all the risk that comes with it.

§ 16

Disclaimer of Warranties

The Services are provided "as is" and "as available", without any warranty — express, implied, statutory or otherwise.

To the fullest extent applicable law allows, Omnilaunch disclaims all warranties, including:

  • (a)

    warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, security and uninterrupted availability;

  • (b)

    any warranty that the Services will meet your needs, achieve a particular result or produce any financial outcome;

  • (c)

    any warranty about the value, liquidity, marketability or future performance of any Token created or traded through the Services;

  • (d)

    any warranty about how any third-party Blockchain, Smart Contract, validator, wallet or service provider behaves, whether it is available, or whether it works correctly.

No advice or information, spoken or written, that you get from Omnilaunch or through the Services creates a warranty that these Terms do not expressly state.

§ 17

Limitation of Liability

To the fullest extent applicable law allows:

  • (a)

    Omnilaunch and its officers, employees, Affiliates, agents, contractors and licensors are not liable for any indirect, incidental, consequential, special, exemplary or punitive damages — including, without limitation, lost profits, revenue, data, opportunities or Tokens, business interruption or loss of goodwill — arising from or related to the Services, even if Omnilaunch was told such damages were possible.

  • (b)

    Omnilaunch's total liability arising from or related to these Terms or your use of the Services will never exceed the greater of: (i) the total Tool Fees you actually paid Omnilaunch in the three (3) months immediately before the event that gave rise to the claim, or (ii) one hundred United States dollars (USD 100).

  • (c)

    This limitation applies whatever the legal basis of the claim (contract, tort, statute or otherwise) and continues after these Terms end.

  • (d)

    Some jurisdictions do not allow certain damages to be excluded or limited. Where such mandatory law applies to you, the limitations above apply as far as that law permits.

§ 18

Limited Reimbursement for Verified Tool Failure

Despite Section 17, Omnilaunch may, at its sole discretion, refund or partly reimburse a User when every one of the following conditions is met:

  • (a)

    the User reports the incident to support@omni-launch.com within seven (7) days of the Transaction concerned, including the Transaction signature(s), wallet address, the Tool used and a detailed description of the problem;

  • (b)

    Omnilaunch investigates and confirms that a verifiable defect in a Smart Contract written by Omnilaunch, or in Omnilaunch's proprietary software, caused the User a measurable on-chain loss;

  • (c)

    the loss is not due to any of the following:

    • (i)

      a mistake by the User, including wrong inputs, addresses, amounts or settings, or a misunderstanding of how a Tool works;

    • (ii)

      private keys that were compromised, stolen or used without authorization;

    • (iii)

      market movements, price slippage, MEV, sandwich attacks, front-running or trading decisions;

    • (iv)

      third-party Smart Contracts, Blockchains, wallets, RPC providers, oracles or other infrastructure that Omnilaunch did not write or does not operate;

    • (v)

      network congestion, partial outages or chain reorganizations;

    • (vi)

      a Force Majeure event as described in Section 31;

    • (vii)

      any use of the Services that breaches these Terms;

  • (d)

    the User cooperates fully and provides any documents Omnilaunch reasonably asks for.

When these conditions are met, a reimbursement will not exceed the lower of (i) the verified loss directly caused by the Omnilaunch defect, or (ii) the overall liability cap in Section 17(b).

A reimbursement under this Section is a goodwill gesture decided at Omnilaunch's sole discretion. It is not an admission of liability, does not oblige Omnilaunch to reimburse anyone in any future case, and does not waive any right or defense Omnilaunch has.

§ 19

Indemnification

You agree to defend, indemnify and hold harmless Omnilaunch, its Affiliates and their officers, employees, agents, contractors and licensors against any claim, demand, loss, liability, damage, fine, penalty, cost or expense (including reasonable legal fees) arising from or related to:

  • (a)

    your access to or use of the Services;

  • (b)

    your breach of these Terms;

  • (c)

    your User Submissions;

  • (d)

    your breach of any applicable law or of anyone else's rights;

  • (e)

    any Token you create, launch, trade or distribute through the Services;

  • (f)

    any untrue statement about your eligibility, jurisdiction or sanctions status.

§ 20

Tax Responsibility

Working out and paying any taxes, duties, levies or government charges that apply to your use of the Services, or to any Token, Transaction or activity carried out through them, is solely your responsibility. Omnilaunch gives no tax advice and does not assess, collect, withhold or pay taxes for you.

§ 21

Sanctions and Anti-Money-Laundering Compliance

You represent that neither you, nor your wallet(s), nor any beneficial owner of the funds used in the Services is the subject of sanctions imposed by the United Nations, OFAC, the EU, the UK or any comparable authority.

Where applicable law requires it, or where it reasonably suspects sanctions violations, money laundering, terrorist financing or other illegal activity, Omnilaunch may:

  • (a)

    refuse to process or facilitate any Transaction;

  • (b)

    suspend or end any User's access;

  • (c)

    report the activity to the competent authorities.

Omnilaunch is not liable for any loss, damage or inconvenience caused by steps taken under this Section.

§ 22

Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

§ 23

Modifications to These Terms

Omnilaunch may change these Terms at any time. It will announce material changes by reasonable means, including, without limitation, a notice on the Website or within the product.

If you keep using the Services after the updated Terms are published, you accept them. If you do not agree with them, you must stop using the Services.

§ 24

Termination and Suspension

You may stop using the Services whenever you wish.

Omnilaunch may suspend or end your access to all or part of the Services at any time, with or without notice, if:

  • (a)

    Omnilaunch reasonably suspects that you have breached these Terms;

  • (b)

    applicable law or regulation, or an order of a competent authority, requires it;

  • (c)

    Omnilaunch reasonably suspects fraudulent, abusive, harmful or illegal activity;

  • (d)

    Omnilaunch stops offering the Service or feature concerned.

Sections 7, 10, 13, 14, 16, 17, 18, 19, 20, 25 and 26, and any other provision that by its nature should continue, survive termination.

§ 25

Governing Law

These Terms, and any non-contractual obligations arising from or connected with them, are governed by and interpreted under applicable law, without regard to its conflict-of-law rules.

§ 26

Dispute Resolution

If you have a question, concern or dispute about the Services, we ask you to raise it first by opening a ticket at omni-launch.com/open-ticket, so that Omnilaunch can look into it and try to settle it with you directly.

Before starting any formal proceedings, the parties will try in good faith to settle any dispute, controversy or claim arising from or related to these Terms through direct negotiation for at least thirty (30) days after written notice of the dispute, sent to support@omni-launch.com or raised in a support ticket at omni-launch.com/open-ticket. If negotiation does not settle the dispute, it will be referred to a court or tribunal of competent jurisdiction.

§ 27

Severability

If a competent authority finds any provision of these Terms invalid, illegal or unenforceable, that provision will be limited or removed only as far as necessary, and all other provisions will stay fully in force.

§ 28

Entire Agreement

These Terms, together with the Privacy Policy and any other product-specific terms incorporated by reference, are the entire agreement between you and Omnilaunch about the Services, and replace all earlier or simultaneous communications and proposals, spoken or written.

§ 29

No Waiver

If Omnilaunch does not enforce a right or provision of these Terms, it does not waive that right or provision. A waiver is effective only if it is in writing and signed by Omnilaunch.

§ 30

Notices and Contact

Notices to Omnilaunch must be sent in writing to: support@omni-launch.com.

Omnilaunch may give notices to Users through the Website, the relevant User interface or any email address the User has provided.

§ 31

Force Majeure

Omnilaunch is not liable for any failure or delay in performance caused by events outside its reasonable control, including, without limitation, acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, government action, sanctions, pandemics, telecommunications failures, internet outages, failures of blockchain networks, validators, oracles or RPC providers, cyberattacks, or any act or omission of a third party.

§ 32

Assignment

You may not assign or transfer these Terms, or any of your rights or obligations under them, without Omnilaunch's prior written consent. Omnilaunch may assign these Terms as part of a merger, acquisition, restructuring or sale of assets by giving you notice.

§ 33

Language

These Terms are written in English. Any translation is provided for convenience only, and if a translation conflicts with the English version, the English version prevails.

§ 34

Responsible Disclosure

If you find a security vulnerability in the Services, please report it privately to support@omni-launch.com. Omnilaunch will acknowledge genuine reports within seven (7) business days and work in good faith on a fix. We ask that you do not disclose the issue publicly before it is fixed.
